Terms of Service

1. Agreement to Terms

By accessing or using Meridian ("the Service"), operated by Meridian Project Tools ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Meridian is a web-based project planning tool that provides Gantt charts, kanban boards, task management, dependency tracking, and related features. The Service is available at meridianplan.com.

3. Accounts

To use certain features of the Service, you must create an account using a supported authentication provider (such as Google or Microsoft). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to provide accurate information when creating your account and to notify us promptly of any unauthorised use.

4. Pricing and Plans

Meridian offers multiple tiers of service:

We reserve the right to modify or discontinue any plan at any time. If we make material changes to a paid plan, we will provide at least 30 days' notice.

5. Free Tier

The Basic tier is provided free of charge for as long as the Service is operational. We may adjust the feature set or limits of the free tier over time, but we will not retroactively charge for the Basic tier or remove access to projects you have already created on it.

6. Payments and Billing

If you subscribe to a paid plan, you agree to pay the applicable fees. Payments are processed through our third-party payment provider (currently Stripe). All fees are stated in GBP (£) unless otherwise indicated and are non-refundable except as required by applicable law.

You may cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period, after which your account will revert to the Basic tier.

7. Your Data

You retain ownership of all content you create or upload through the Service ("Your Data"). By using the Service, you grant us a limited licence to store, process, and transmit Your Data solely for the purpose of providing the Service to you.

We will not sell, share, or use Your Data for advertising purposes. We will not access Your Data except as necessary to operate the Service, provide support at your request, or comply with legal obligations.

8. Data Storage and Security

Your Data is stored using Supabase infrastructure. We implement reasonable technical and organisational measures to protect Your Data, but no method of transmission or storage is completely secure. We cannot guarantee absolute security.

You are responsible for maintaining your own backups of critical data. We provide export functionality to help you do so.

10. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer the Service except as expressly permitted.

Your Data remains yours. These terms do not grant us any intellectual property rights over Your Data beyond the limited licence described in Section 7.

11. Third-Party Services

The Service may integrate with or link to third-party services (such as authentication providers and payment processors). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

12. Availability and Uptime

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

13. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim, or £50, whichever is greater.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases. We will retain Your Data for a reasonable period to allow you to export it, after which it may be deleted.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
